city-netze GmbH is not selling its products, directly to END USERs within the countries of the EUROPEAN UNION. We do prefer to sell via a strong reseller network. We do not require you to agree on any minimum order volume, as we are convinced of our product. However, we do require confidentiality and you acting loyal with us.

This Agreement is made and entered into as of the last date signed below (the “Effective Date”) by and between city-netze GmbH, having its principal place of business at Küfergasse 11, 89073 Ulm, Germany, represented by Dipl.Ing. Markus Haut, Managing Director

and

(the "COMPANY").

WHEREAS city-netze GmbG showcases, a unique product called TARKAN – a GLOBAL MINI HOTSPOT. Besides other Products.

WHEREAS the “COMPANY” is acting as Territory Reseller for this product and will Distribute it within its territory, in his country of registration.

WHEREAS city-netze GmbH is willing to diclose to "COMPANY" certiain proprietary, confidential and/or sensitive commercial and/or technical information and/or material, that is not intended to circulate to 3rd Parties, in particular – but not only - to provider, who directly compete to city-ntez Gmbh and Level421 Limited in the market.

WHEREAS the Parties to this Agreement agree that the seat of the arbitration shall be Ulm (Germany) and that the language to be used in the arbitration proceedings shall be German.

The Parties agree that the disclosing Party will suffer irreparable injury if its Confidential Information is made public, released to a third party, or otherwise disclosed in breach of this Agreement and that the disclosing Party shall be entitled to obtain injunctive relief against a threatened breach or continuation of any such breach and, in the event of such breach, an award of actual and exemplary damages from any court of competent jurisdiction.

COMPANY does agree, to not by itself copy the city-ntez Gmbh and Level421 Limited business processes, IT systems, or start operating an identical business model in the same markets as city-ntez Gmbh and Level421 Limited.

This Agreement shall remain in effect for a period of two (3) years from the Effective Date unless otherwise terminated by either Party giving notice to the other of its desire to terminate this Agreement.
